Stirbar Lab Workshop Participation Agreement

This Workshop Participation Agreement (“Agreement”) is entered into between Stirbar Lab LLC (“Stirbar Lab”) and the participant (“Participant”) as of the date of participation in the workshop.

By attending a Stirbar Lab workshop, Participant agrees to the following terms:

Eligibility

Participants under the age of 13 must have a parent or guardian present with them when participating in the workshop. The parent or guardian must sign the liability waiver on behalf of the Participant. Participants between the age of 13-18 may enter the workshop without a parent or legal guardian, but these Participants must have a Liability Waiver signed by a parent or legal guardian before entering.

Confidentiality

Participant acknowledges that during the workshop they may gain access to proprietary techniques, formulations, processes, and business practices (“Confidential Information”) belonging to Stirbar Lab. Participant agrees to keep the Confidential Information private and agrees to not disclose this information to the public.

Intellectual Property

All materials, formulations, processes, and methods presented in the workshop are and remain the exclusive intellectual property of Stirbar Lab. Participant receives no rights to reproduce, commercialize, or distribute these processes.

Photos and Recordings

Participant agrees not to take photos, videos, or audio recordings of the workshop process, equipment, or materials without prior approval from Stirbar Lab.

Personal Protective Equipment (PPE)

Participant agrees to wear proper protective clothing in the workshop, which includes comfortable clothing and closed-toed shoes for safety. Stirbar Lab will provide Participants with lab coats, gloves, and safety goggles as needed.

Acknowledgment and Governing Law

Participant acknowledges that any breach of this Agreement may result in legal action and agrees that Stirbar Lab may seek injunctive relief and damages. This agreement shall be governed by the laws of the State of California.

Waiver of Liability

The individual named below (referred to as “Participant” or “you”) desires to participate in Stirbar Lab Activities (the “Activity”) provided Stirbar Lab LLC, a California LLC with offices located at Mountain View, CA (“Stirbar Lab”). In consideration of being permitted by Stirbar Lab to participate in the Activity and in recognition of Stirbar Lab’s reliance hereon, Participant agrees, to all the terms and conditions set forth in this instrument (this “Release”).
Participant is aware and understands that the activity is a potentially dangerous activity and may involve the risk of pain, allergic reaction, or discomfort. Participant acknowledges that any injuries that participant sustains may result from or be compounded by the actions, omissions, or negligence of Stirbar Lab, including negligent emergency response or rescue operations of stirbar lab. Notwithstanding the risk, participant acknowledges that participant is knowingly and voluntarily participating in the activity with an express understanding of the potential danger involved and hereby agrees to accept and assume any and all risks of injury, arising from participation in the activity.

Participant hereby waives and releases all claims which Participant may have, or which Participant may hereafter have, against Stirbar Lab, and its officers, managers, employees, agents, affiliates, successors, and assigns (collectively, “Releasees“), on account of all risks inherent in the Activity, including, and not limited to, physical and emotional injury, death, lacerations, burns, known or unknown allergic reactions, eye injuries, injuries from handling equipment or ingredients, injuries due to contamination risks, injuries due to glassware, slip hazards, and other related injuries as a result of participation in the Activity, whether arising out of the ordinary negligence of Stirbar Lab or otherwise. You agree not to make or bring any such claim against Stirbar Lab or any other Releasee, and forever release and discharge Stirbar Lab and all other Releasees from liability under such claims. This waiver and release does not extend to claims for gross negligence, intentional or reckless misconduct, or any other liabilities that California law does not permit to be released by agreement.

Participant understands that by signing this release, Participant is waiving any and all claims, of any kind arising out of Participant’s participation in the Activity. With the intention of waving all unknown and unsuspected claims, you waive all rights and protections under California Civil Code 1542, which reads as follows:

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

You agree to protect and hold harmless Stirbar Lab, and all other parties released from liability against any losses, damages, or expenses, including attorney fees, that they may incur due to claims from third parties related to Participant’s participation in the Activity. This includes claims resulting from Participant’s own negligence or the ordinary negligence of Stirbar Lab, as determined by a final non-appealable judgment.

This Release constitutes the sole and entire agreement of Stirbar Lab and Participant with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, concerning such subject matter.

All matters arising out of or relating to this Release shall be governed by and construed in accordance with the internal laws of the State of California. Any claim or cause of action arising under this Release may be brought only in courts located in Santa Clara County, California and you hereby consent to the exclusive jurisdiction of such courts.
